STAGIL Source Code License Supplement

This document governs the use of source code included in STAGIL Products.

This supplement forms part of the broader STAGIL Agreements (the “Agreement”). Capitalised terms not defined here have the meanings set out in the Agreement. The Products may contain code and libraries licensed from third parties. Some of these third-party licences require us to pass specific terms on to you.

1. Open Source Software in the Products

STAGIL Products may include components that are subject to “open source” licences. Where applicable, we identify these components in or through the Product itself.

In such cases, the open source components are made available to you under their respective open source licences, which may grant rights beyond those set out in the Agreement, such as access to source code, rights to modify, and rights to reverse engineer.

However, if you are using the Products in the form provided by STAGIL, within your permitted Scope of Use, and without redistributing the software to third parties, these open source licences do not impose any additional obligations beyond those in the Agreement.

2. Combining Products with Open Source Software

Specific open-source licenses (known as “copyleft” licenses) require that any modifications or combinations of the open-source code with other software be distributed under the same copyleft license. Examples include the GPL, LGPL, Affero, CPL, CDDL, Eclipse, and Mozilla licences.

If STAGIL separately authorises you to combine or distribute our Products with other software, you must ensure that:

  • You do not impose, or appear to impose, any obligations on STAGIL or our Products, such as requiring us to distribute our code under an open-source license.

  • You do not grant, or appear to grant, any third party rights to STAGIL’s intellectual property.

Unless expressly permitted by us, you may not combine, modify, or distribute our Products in any way.

3. Commercial Third-Party Code

3.1 Use Restrictions

The Products may include commercially licensed components from third parties (“Commercial Components”). All restrictions that apply to the Products also apply to these components.

3.2 Permitted Use

You may only use Commercial Components as part of the Products, as provided by STAGIL. You may not:

  • Access, install, or configure them separately.

  • Use them independently of the Product.

  • Attempt to gain direct access to any part of a Commercial Component.

  • Permit others (including customers) to do any of the above.

3.3 Source Code & Modifications

If any Commercial Components include source code, it is provided for transparency only. You may not modify Commercial Components, even if the source code is available. This restriction overrides any provisions in Section 6.4 (“Your Modifications”) of the Agreement.

You are financially liable to the third-party licensor (“Commercial Component Licensor”) for any damages resulting from a breach of this section. You are also prohibited from benchmarking or otherwise analysing the performance of Commercial Components.

3.4 Ownership & Enforcement

All ownership and intellectual property rights in Commercial Components remain with the relevant third-party licensor. These licensors (and other third-party licensors of any Product components) are intended third-party beneficiaries of the Agreement and may enforce it directly against you.

However, they do not assume any of STAGIL’s obligations under the Agreement.
